Terms of service

1. Who we are and what these Terms cover

1.1 This website (the "Site") is operated by UK RESEARCH GROUP LTD, a company registered in England and Wales under company number 17451832, with its registered office at 128 City Rd, London, EC1V 2NX (referred to as "we", "us", "our" or "Peptide Stock"). Our contact details are set out in clause 22.

1.2 These Terms of Service ("Terms") govern your access to and use of the Site and every purchase of Products from us. Please read them carefully. By accessing the Site, creating an account, or placing an Order, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, our Shipping Policy and our Refund Policy, each of which forms part of these Terms.

1.3 If you do not agree to these Terms, you must not use the Site or purchase from us.

1.4 We may update these Terms from time to time. The version in force at the time you place an Order is the version that applies to that Order. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Definitions

  • "Products" means the research-grade peptides, reagents and related laboratory items offered for sale on the Site.
  • "Research Use" means use exclusively for in‑vitro, laboratory, analytical or scientific research purposes.
  • "Research Purchaser" means a person or organisation purchasing Products for Research Use in the course of a business, profession, academic institution, laboratory or other scientific research activity.
  • "Order" means an order for Products placed through the Site.

3. The nature of our Products — research use only

3.1 All Products are sold strictly for Research Use. They are supplied as chemical reference materials for laboratory research and analytical purposes only.

3.2 Products are not medicines, medicinal products, drugs, dietary supplements, foods, food additives, cosmetics, or medical devices. They have not been assessed, licensed or approved by the Medicines and Healthcare products Regulatory Agency (MHRA), the Food Standards Agency, or any other regulatory authority for any human or veterinary use.

3.3 Products are not intended for, and must not be used for: human consumption or administration by any route; veterinary use; therapeutic, diagnostic, prophylactic or clinical purposes; use in or on the body of any human or animal; manufacture of any product intended for human or animal use; or any other purpose outside Research Use.

3.4 We do not make, and nothing on the Site should be read as, any claim regarding the safety, efficacy, suitability, dosing or effects of any Product in humans or animals. Product descriptions, certificates of analysis and any technical data are provided solely to describe the chemical identity, purity and specification of the Product for research purposes.

3.5 We do not provide medical, health, nutritional, pharmacological or legal advice. No content on the Site, and no communication from us or our staff, should be relied on as such.

4. Who we sell to, and your declarations

4.1 We sell only to Research Purchasers. We do not offer or supply Products for personal, domestic or non-research use. It is a condition of every sale that you are a Research Purchaser.

4.2 By placing an Order you represent, warrant and undertake to us that:

(a) you are at least 18 years of age;

(b) you are a Research Purchaser and are purchasing the Products solely for Research Use, and will not use, administer, sell, supply or distribute them for any other purpose;

(c) you (or the organisation on whose behalf you act) have the training, knowledge, facilities and equipment necessary to handle, store and use research chemicals safely and lawfully;

(d) you will handle, store, use and dispose of the Products in accordance with all applicable laws, regulations, safety data and good laboratory practice;

(e) you will not resell, redistribute, re-label, repackage or supply the Products to any third party for any purpose other than Research Use, and will not supply them to any person you know or suspect intends to use them for human or animal consumption;

(f) all information you provide to us (including your name, address, contact details and stated purpose of purchase) is accurate, complete and not misleading;

(g) if you are ordering on behalf of an organisation, you are authorised to bind that organisation to these Terms.

4.3 These declarations are a condition of every sale and we rely on them in accepting your Order. If any declaration is or becomes untrue, you must not place, or must immediately cancel, your Order, and we may cancel it under clause 5.

4.4 You must confirm your agreement to these declarations at checkout. Doing so constitutes a written statement by you on which we are entitled to rely.

5. Verification, refusal and cancellation by us

5.1 At any time before dispatch, where we reasonably consider it necessary for regulatory compliance, fraud prevention, payment security, verification of the declarations in clause 4, product safety, stock availability, suspected misuse, or the protection of our business, we may:

(a) request further information from you, including proof of age, identity, address, institutional affiliation or intended research use;

(b) pause, decline or cancel any Order;

(c) limit order quantities or frequency;

(d) suspend or close any account.

5.2 We may in particular refuse or cancel an Order where we reasonably believe that the Products are intended for use other than Research Use, that any declaration in clause 4 is untrue, that the Order is unusual in size or frequency, or that the sale would breach any law or these Terms.

5.3 Where we take any action under clause 5.1 we will tell you that we have done so. We are not required to disclose information that could compromise our fraud-prevention, compliance or security procedures, confidential supplier information, or other legitimate business interests.

5.4 Where we cancel an Order before dispatch, we will refund any sum paid in full. We will have no further liability to you in respect of a cancelled Order.

6. Ordering and contract formation

6.1 The Site is an invitation to treat, not an offer. Your Order is an offer to purchase the Products on these Terms.

6.2 After you place an Order we will send an acknowledgement email. This does not mean your Order has been accepted. A binding contract is formed only when we send you an email confirming that your Order has been dispatched (the "Dispatch Confirmation"). Until then, we may decline your Order under clause 5.

6.3 If we are unable to supply a Product (for example because it is out of stock, withdrawn, or because of a pricing or description error), we will notify you and will not process that part of the Order. Any sum paid for that Product will be refunded.

6.4 You are responsible for checking that your Order (including Products, quantities and delivery address) is correct before submitting it. We are not responsible for errors in the information you supply.

7. Prices and payment

7.1 Prices are shown in pounds sterling (GBP) and, unless stated otherwise, include VAT at the applicable rate. Delivery charges are shown at checkout before you confirm your Order.

7.2 We take reasonable care to ensure prices are correct. If we discover a genuine pricing error before dispatch, we may cancel the Order and refund any payment; we are not obliged to supply Products at an incorrect price.

7.3 Payment must be made in full at the time of ordering using one of the methods offered at checkout. Payments are processed by third-party providers; we do not store full payment card details.

7.4 We reserve the right to decline any payment method and to carry out anti-fraud checks. We may withhold dispatch until payment has cleared.

8. Delivery

8.1 Delivery is governed by our Shipping Policy, which forms part of these Terms. We deliver only to addresses within the United Kingdom.

8.2 Delivery dates and times are estimates only and time of delivery is not of the essence.

8.3 Risk in the Products passes to you when they are delivered to the delivery address you provided (or to a person at that address, or to a safe place or neighbour as directed by you or the carrier). Ownership passes to you when we have received payment in full.

8.4 You are responsible for providing an accurate, complete delivery address and for ensuring that someone is available to receive the Products. Products, particularly lyophilised peptides, may be sensitive to heat and light; you are responsible for ensuring appropriate storage promptly on receipt.

8.5 If the Products are returned to us because of a failed delivery, incorrect address or non-collection, we may charge for redelivery or treat the Order as cancelled and deduct our reasonable costs from any refund.

9. Cancellation, returns and refunds

9.1 No cancellation after dispatch. Because of the nature of research chemicals, and because we cannot verify storage or handling conditions once a Product has left our control, Orders placed by Research Purchasers may not be cancelled after the Dispatch Confirmation has been sent, and we do not accept returns, exchanges or refunds for change of mind or ordering errors, except where required by law or as set out in this clause 9.

9.2 Unsealed Products. All Products are supplied sealed. We will not accept the return of any Product whose seal, vial, cap or protective packaging has been opened, broken or tampered with, except where we agree that the Product is faulty under clause 9.3.

9.3 Damaged, faulty or incorrect Products. Please inspect Products on receipt and notify us within 48 hours of delivery of any visible transit damage, shortage or incorrect Product, quoting your order number and providing photographs, so that we can raise a claim with the carrier. Do not open any Product you believe to be incorrect. Prompt notification helps us resolve the issue quickly; however, this 48-hour period does not affect your right to notify us of a fault that could not reasonably have been discovered on delivery. Subject to your statutory rights and applicable law, where we accept that a Product was damaged on arrival, faulty or not as ordered, we will, at our option, replace it or refund the price paid for it, and will cover reasonable return postage where we ask for the Product back.

9.4 Lost parcels are dealt with under our Shipping Policy.

9.5 Refunds are made only to the original payment method. We are not responsible for delays by payment providers.

9.6 Statutory rights. We sell only to Research Purchasers on the terms above. If, notwithstanding clause 4, you are found in law to be a consumer, nothing in these Terms excludes or limits any right you have under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or any other law that cannot lawfully be excluded; however, you acknowledge that Products are sealed goods that are not suitable for return once unsealed for health protection and hygiene reasons, and are liable to deteriorate rapidly, so that no right of cancellation applies to any Product once its seal or packaging has been opened.

10. Product information, storage and handling

10.1 We take reasonable care to ensure that Product descriptions, specifications and certificates of analysis are accurate. Minor variations in appearance, packaging or fill do not constitute a defect. Batch-specific data may differ from representative data shown on the Site.

10.2 You are solely responsible for the storage, handling, reconstitution, testing, use and disposal of Products after delivery, and for ensuring that they are used only by suitably qualified persons in an appropriate laboratory environment.

10.3 Safety data and storage recommendations, where provided, are for guidance only. You must conduct your own risk assessment before use.

11. Prohibited uses

11.1 You must not, and must not permit any third party to:

(a) use any Product for any purpose other than Research Use, including any form of human or animal administration;

(b) market, advertise, describe, label or promote any Product as being suitable for human or animal use, or make any health, therapeutic or performance claim in respect of it;

(c) resell or supply Products to any person who is under 18 or who you know or reasonably suspect intends to use them other than for Research Use;

(d) use the Site or Products for any unlawful purpose or in breach of any applicable law, including the Human Medicines Regulations 2012, the Medicines Act 1968, the Psychoactive Substances Act 2016, the Misuse of Drugs Act 1971, or any import/export control;

(e) post, submit or transmit any content on or through the Site that describes, promotes or encourages use of Products other than for Research Use, including in reviews, questions or messages;

(f) interfere with the security or operation of the Site, scrape or copy Site content, or use automated tools to place Orders.

11.2 Any breach of this clause is a material breach of these Terms entitling us to cancel Orders, suspend or terminate your account, refuse future sales, and take such other action as we consider appropriate.

12. Your responsibility for compliance

12.1 It is your responsibility to determine, before purchasing, whether the purchase, possession, handling and use of the Products is lawful for you and in your location, and to obtain any licences, permits, ethical approvals or consents required.

12.2 We supply Products on the basis of, and in reliance on, your declarations in clause 4. We do not and cannot supervise how Products are used once delivered.

13. Our liability

13.1 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title); (d) liability under the Consumer Protection Act 1987; or (e) any other liability which cannot lawfully be excluded or limited.

13.2 Subject to clause 13.1:

(a) all warranties, conditions and terms implied by statute or common law (including as to satisfactory quality, fitness for purpose and correspondence with description) are excluded to the fullest extent permitted by law;

(b) we shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, revenue, business, contracts, data, goodwill or anticipated savings, or for any indirect, special or consequential loss;

(c) we shall not be liable for any loss or damage that arises from your use of the Products for any purpose other than Research Use, or in breach of clause 4, 11 or 12;

(d) to the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the price paid for that Order.

13.3 Misuse. To the fullest extent permitted by law, we accept no liability whatsoever for any loss, damage, injury, illness or adverse effect of any kind arising directly or indirectly from the use of any Product other than for Research Use, from any human or animal administration of any Product, or from any breach by you of clauses 4, 11 or 12. Such use is expressly contrary to these Terms and is undertaken entirely at your own risk.

14. Indemnity

14.1 You agree to indemnify, defend and hold harmless UK RESEARCH GROUP LTD, its officers, employees, agents and suppliers from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) any breach by you of clauses 4, 11 or 12; (b) any use of the Products other than for Research Use; (c) any resale or supply of Products by you to a third party; or (d) any claim by a third party arising from your use, handling, storage or disposal of the Products — in each case except to the extent that the claim or loss is caused by our negligence, fraud, wilful misconduct or breach of these Terms.

15. Intellectual property and use of the Site

15.1 All content on the Site — including text, product descriptions, images, logos, certificates of analysis, design and software — is owned by or licensed to us and protected by copyright, trade mark and other intellectual property laws. You may view and print pages for your own internal research reference only. Any other reproduction, distribution or commercial use requires our prior written consent.

15.2 We do not guarantee that the Site will be available uninterrupted or error-free, and we may suspend, withdraw or restrict access for business or operational reasons.

15.3 If you create an account, you are responsible for keeping your login details confidential and for all activity under your account.

15.4 Any reviews, comments or other content you submit must comply with clause 11.1(e). We may remove or refuse to publish any content at our discretion. By submitting content you grant us a non-exclusive, royalty-free, perpetual licence to use it in connection with the Site.

16. Privacy

16.1 We process personal data in accordance with our Privacy Policy and the UK GDPR and Data Protection Act 2018. We may retain order, declaration and verification records for as long as necessary to meet legal, regulatory and compliance obligations, and may disclose them to regulators or law enforcement where required by law.

17. Termination

17.1 We may suspend or terminate your account or access to the Site immediately, without notice, if you breach these Terms, if we suspect fraudulent or unlawful activity, or if we consider it necessary to protect our business or comply with law. Termination does not affect Orders already dispatched or any rights or obligations accrued before termination. Clauses 3, 4, 9, 11, 12, 13, 14, 15 and 21 survive termination.

18. Events outside our control

18.1 We are not liable for any delay or failure to perform our obligations caused by events outside our reasonable control, including carrier failure, supplier shortages, regulatory action, industrial action, extreme weather, epidemic, or failure of utilities or telecommunications. We will notify you and take reasonable steps to minimise the effect. If the delay is substantial, either party may cancel the affected Order and we will refund any sum paid for undelivered Products.

19. General

19.1 Entire agreement. These Terms, together with our Privacy, Shipping and Refund Policies and your Order, constitute the entire agreement between you and us in relation to their subject matter and supersede all prior discussions and representations. Nothing in this clause limits liability for fraud.

19.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed or limited to the minimum extent necessary and the remaining provisions shall continue in full force.

19.3 Waiver. A failure or delay by us in enforcing any right under these Terms is not a waiver of that right.

19.4 Assignment. We may transfer our rights and obligations under these Terms to another organisation. You may not transfer your rights or obligations without our written consent.

19.5 Third-party rights. No person other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

19.6 Notices. Notices to us must be sent in writing to the contact details in clause 22. Notices to you will be sent to the email address associated with your account or Order.

20. Complaints

20.1 If you have a complaint, please contact us using the details in clause 22 and we will try to resolve it promptly. Nothing in this clause affects the right of either party to bring proceedings in court.

21. Governing law and jurisdiction

21.1 These Terms and any dispute or claim arising out of or in connection with them or any Order (including non-contractual disputes or claims) are governed by the law of England and Wales.

21.2 The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that nothing in this clause prevents any person from bringing proceedings in the courts of the part of the United Kingdom in which they are domiciled where they are entitled by law to do so.
